1. Agreement to Terms & Product Scope

Welcome to V2X Innovations Private Limited ("V2X Innovations", "Company", "we", "us", or "our"). These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "Subscriber", or "Vendor") and V2X Innovations Private Limited, registered in Salem, Tamil Nadu, India.

By accessing our website, purchasing subscriptions, registering accounts, or utilizing any of our software platforms, digital services, or educational programs, you agree to be bound by these Terms. Our product ecosystem includes:

• Leadcall CRM: Telecalling management, lead tracking, call logging, and sales team workflows.
• Malaiyur.com: Business directory portal, vendor store listings, marketplace profiles, and local commercial services.
• V2X AI SEO Tool & Marketing Suite: AI-powered search optimization, marketing campaign management, and performance analytics.
• V2X AutoChat & WhatsApp Automation: Social media auto-reply, messaging tools, and WhatsApp product catalogs.
• V2X One & SaaS Solutions: Enterprise business management software, ERP tools, and workspace applications.
• V2X Academy & Student Projects: Technical skill training, course enrollments, practical project submissions, and student certifications.
• Web Development & Digital Marketing Services: Website design, Meta/Facebook Ads management, SEO, video editing, and software development.

2. User Eligibility & Account Responsibilities

To use our services, you must be at least 18 years of age and capable of entering into legally binding contracts under applicable law.

• Accurate Registration: You agree to provide true, accurate, current, and complete information during account creation and keep your business profile updated.
• Account Confidentiality: You are solely responsible for maintaining the confidentiality of your account login credentials, passwords, and API keys. Any action performed under your account credentials shall be deemed authorized by you.
• Notification of Breach: You must notify us immediately at admin@v2xinnovations.com upon discovering any unauthorized account access or security breach.

3. Product-Specific Operational Terms

A. Leadcall CRM Terms

• Telecalling Compliance: Subscribers utilizing Leadcall CRM for phone calling or SMS outreach must comply strictly with national telecom laws, DND (Do Not Disturb) registries, and TRAI (Telecom Regulatory Authority of India) guidelines.
• Subscriber Lead Ownership: Customer leads and call lists uploaded into Leadcall CRM remain the exclusive property of the subscriber. V2X Innovations claims no ownership over subscriber lead data and will never sell or rent subscriber contact lists.

B. Malaiyur.com Commercial Vendor Terms

• Listing Veracity: Vendors registering business listings on Malaiyur.com must ensure store addresses, photos, contact numbers, and product prices are accurate and non-misleading.
• Prohibited Items: Vendors must not list counterfeit goods, illegal substances, offensive content, or unauthorized financial schemes on Malaiyur.com. We reserve the right to remove any non-compliant listing without notice.

C. AI SEO Tool & Meta Platform Automation

• Users connecting Facebook Pages, Instagram Accounts, or WhatsApp Business numbers to the AI SEO Tool or AutoChat must comply with Meta Platform Terms, Instagram API Policies, and WhatsApp Business Policies. Misuse of automation tools to generate spam or violate third-party platform rules is strictly prohibited.

D. V2X Academy & Student Projects

• Course enrollments, training materials, and certificate issues are non-transferable personal licenses granted to the registered student. Project submissions must be original work created by the student.

4. Commercial Billing, Payments & Refund Integration

• Pricing & Taxes: Prices for SaaS subscriptions, Malaiyur.com premium vendor listings, AI SEO credits, and course enrollments are billed in Indian Rupees (INR) or specified currencies. Applicable Goods and Services Tax (GST) is added at checkout.
• Payment Processing: Transactions are securely processed through PCI-DSS compliant payment gateways (Cashfree / Razorpay). You authorize our payment processors to charge your selected payment method.
• Refund Policy Integration: Subscription renewals, cancellations, and refund eligibility are strictly governed by our standalone Refund Policy available at v2xinnovations.com/refund-policy.php.

5. Intellectual Property Rights

All software source code, designs, branding, logos, trademarks, website text, graphics, AI SEO algorithms, and platform architecture are the exclusive intellectual property of V2X Innovations Private Limited or its licensors.

Subject to compliance with these Terms, V2X Innovations grants you a limited, revocable, non-exclusive, non-transferable license to access and use our software platforms during your valid subscription period. You shall not:

• Copy, modify, reverse engineer, decompile, or attempt to extract source code from any V2X software.
• Rent, lease, sell, sublicense, or commercially exploit V2X platform code or tools without prior written authorization.
• Remove or alter any copyright, trademark, or proprietary rights notices from V2X materials.

6. Acceptable Use Policy & Prohibited Conduct

You agree not to use V2X web applications or services to:

• Violate any federal, state, local, or international law or statutory regulation.
• Upload or transmit malware, viruses, trojans, or destructive code.
• Perform automated scraping, harvesting, or unauthorized data extraction without explicit permission.
• Engage in illegal gambling promotion, fraudulent spam campaigns, or phishing schemes.
• Interfere with server infrastructure, disrupt service availability, or attempt unauthorized database penetration.

7. Limitation of Liability & Disclaimers

To the maximum extent permitted by applicable law, V2X Innovations Private Limited, its directors, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, business interruption, or reputation damage arising out of your use or inability to use our software or services.

Our platforms and services are provided on an "AS IS" and "AS AVAILABLE" basis. While we maintain high server uptime and security standards, we do not warrant that software execution will be completely uninterrupted or error-free at all times.
